1. Agreement
These Terms of Service ("Terms") govern your access to and use of the Vela application and related services ("Vela", "the Service"). By creating an account or using the Service you agree to these Terms. If you are using Vela on behalf of an organisation, you represent that you are authorised to bind that organisation.
2. The Service
Vela provides analytical tools for transfer pricing. Vela's outputs are indicative analysis only. They are not tax, legal, accounting or investment advice, and are not a credit rating. You remain responsible for your own tax positions and for obtaining advice from qualified professionals before relying on any result.
3. Accounts and access
You must provide accurate registration information, keep your credentials secure, and are responsible for activity under your account. We may suspend or terminate access for breach of these Terms or to protect the Service or other users.
4. Acceptable use
- Do not misuse the Service, attempt to breach its security, or access data that is not yours.
- Do not use the Service to violate any law or third-party right.
- Do not resell or redistribute the Service without our written permission.
5. Customer data
You retain ownership of the data you submit. You grant us a limited licence to process it solely to provide the Service. Our handling of personal data is described in the Privacy Policy.
6. Intellectual property
Vela, including its software, methodology and sector scorecards, is owned by us and protected by intellectual-property laws. These Terms grant you a non-exclusive, non-transferable right to use the Service during your subscription.
7. Fees
Paid plans are billed as described at the point of purchase. Trials are provided as stated. Fees are non-refundable except where required by law.
8. Disclaimers and liability
The Service is provided "as is" without warranties of any kind to the maximum extent permitted by law. Vela accepts no responsibility or liability for any tax adjustment, penalty, or legal challenge arising from use of its outputs. To the extent permitted by law, our aggregate liability is limited to the fees you paid in the twelve months before the event giving rise to the claim.
9. Changes and termination
We may update these Terms; material changes will be notified. You may stop using the Service at any time. Provisions that by their nature should survive termination will survive.
10. Governing law
These Terms are governed by the laws of the provider's jurisdiction, with venue in its competent courts, unless mandatory local law provides otherwise.
